General terms and conditions of sales
SCOPE
These General Terms and Conditions exclusively govern all contractual relations
between Le Chalet S.A. and its commercial counterparties, whether physical or
legal persons, to the exclusion of a buyer’s general or individual terms and
conditions.
Le Chalet S.A. reserves the right to modify these Terms and Conditions at any
time and without prior notice, subject to having any such modifications appear
on its website and on the back of its invoices. Should any specific terms and
conditions be agreed between Le Chalet S.A. and the counterparty, they shall
take precedence over these General Terms and Conditions to the extent that
they depart from such.
IDENTIFICATION OF THE SELLER
All contracts are concluded with Le Chalet S.A., a company with its registered

Acceptance of these Terms and Conditions
On placing an order, the customer acknowledges having read these General
Terms and Conditions and expressly declares to accept them without reserve.
Order validation thus implies the unconditional and irrevocable acceptance of
these General Terms and Conditions.
ORDERS
Once an order has been accepted by Le Chalet S.A., it becomes irrevocable.
Generally and without the need for any justification, Le Chalet S.A. reserves
the right to refuse or cancel any customer order, in particular in the case of any
problem arising from the payment of the order concerned or from a dispute
relating to the payment of a previous order.
DELIVERY
The delivery dates given are for information only and Le Chalet S.A. will not
incur any liability should they be exceeded.
Should the purchaser not take delivery of the product ordered within 15 days
of being advised of delivery, the contract shall be considered breached, with full
liability assumed by the purchaser.
On placing an order, the purchaser undertakes to pay all taxes, duties and
other current or future charges related to the delivery of the products ordered on
receiving the goods. No liability will be assumed by Le Chalet S.A. in this
respect.
Products are delivered by the shipping company freely selected by Le Chalet
S.A., which shall assume no liability in this respect.
All risks are transferred to the purchaser from the day the goods leave the
premises of Le Chalet S.A.
COMPLAINTS
Any complaints related to contract execution such as any visible and/or
qualitative defect/fault of an item or any other delivery problem must be
reported immediately – at the latest within one week – to Le Chalet S.A. via
registered letter addressed to the registered office of Le Chalet S.A.
Except in the case of any product faults/defects listed above, no
merchandise will be taken back.
PRICES
Unless stated otherwise, all prices are listed in Euros.
Prices do not include transport costs, packaging, insurance or customs
duties. Similarly they do not include import duties or any taxes to be paid by the
purchaser.
Le Chalet S.A. reserves the right to modify product prices at any time.
However all products will be invoiced at the prices valid at the time the order
was recorded.
PAYMENT
Unless stated otherwise on the invoice, the price is payable in cash at the
registered office of Le Chalet S.A. or to any of its bank accounts.
Le Chalet S.A. reserves the right to demand payment of a deposit equivalent
to fifty percent of the invoiced amount before the goods are shipped. Until such
a deposit is paid, it reserves the right to retain the goods until the pending
payment has been made.
Should no payment have been made by the deadline set, the customer will
be immediately and without prior notice liable to a penalty fee amounting to
fifteen percent of the total amount invoiced, with a minimum of EUR 75.00 set
for Belgium and EUR 125.00 for all other countries.
Interest will be due without prior notice on invoices not paid by the deadline
set at an annual rate of ten percent, though this rate may not be less than seven
percentage points above the key rate set by the European Central Bank.
RETENTION OF TITLE
The goods shall remain the property of Le Chalet S.A. until payment has been
received in full.
LIABILITY
Le Chalet S.A. may not be held in any way responsible for any damage
resulting from the improper use of the goods sold.
Similarly, no responsibility will be assumed by Le Chalet S.A. for any
modification to the products made by the manufacturers thereof.
Moreover, Le Chalet S.A. may not be held responsible for any non-respect of
the regulatory and legislative provisions in force in the receiving country.
In any event, the liability of Le Chalet S.A. is exclusively limited to the value of
the product in question on the date of its sale.
WARRANTY
No warranty is given by Le Chalet S.A. except in the case of gross negligence.
CONTRACT CANCELLATION
Le Chalet S.A. reserves the right to cancel the contract ipso jure in the case of
the purchaser culpably not performing any one of his contractual obligations, in
